1. Let’s do some G◌◌D! 

About Greatest Good (that’s us!)

We are Greatest Good and we connect Conscious Consumers with For-Purpose Organisations for the greatest good. This document sets out how we deliver our Ecosystem and Services to the Community (Terms).

We are looking forward to helping you do your greatest good!

  • Greatest Good, GG, we, or us means Greatest Good Pty Ltd ABN 56 650 109 630
  • You, or your means the people or organisations in the GG Community who visit or purchase from our Ecosystem (or both!).

        GG Community is made up of Visitors, Conscious Consumers, For-Purpose Organisations, and Service Providers

2. These Ecosystem Terms are our community rules

These Terms are our community rules, and they apply when you visit our Ecosystem.

  • These Terms apply to everyone who visits or uses our Ecosystem, so we’ve tried to make them easy to understand and fair.
  • If you don’t agree to our Terms, that’s okay, but you must stop accessing and using our Ecosystem.

3. How these Terms create an agreement with you

Our agreement with you is made up of different parts

Our agreement with you is set out in:

  • Special Terms, which are conditions that apply to:
    • particular GG Community Members,
    • specific types of Services we offer,
    • promotions and competitions,

and are set out in our Ecosystem or agreed separately with you in writing,

  • these Ecosystem Terms, and

     Some sections of our Ecosystem Terms only apply to specific GG Community members.

  • our Privacy Policy and other policies available from our Ecosystem, such as our Returns Policy.

Together, these make up our agreement with you about how we will work together (Agreement).

  • If the different parts of this Agreement conflict with each other, the document listed higher in the above list takes priority to the extent of any conflict.

4. Our Privacy Policy applies

We may provide your Personal Information to GG Community Members

  • By visiting or using our Ecosystem, you agree to these Terms, as well as our Privacy Policy.
  • We provide personal information – such as contact or delivery details - to help facilitate transactions on our Ecosystem.
  • We may disclose that information to third parties that help us deliver our Ecosystem or Services or as required by law.
  • By providing your personal information to us, you consent to the collection, use, storage and disclosure of that information as described in our Privacy Policy and these Terms.
  • Our Privacy Policy explains:
    • how we store and use your personal information;
    • how you can lodge a complaint regarding the handling of your personal information; and
    • how we will handle any complaint.
  • If you would like any further information about our privacy policies or practices, please contact us.

5. You must register a GG Account to transact on our Ecosystem

About GG Accounts

  • We have different criteria for different types of GG Community members.
  • From time to time, we might change our criteria for holding a GG Account.
  • If you can’t meet our criteria at any point in time, then you cannot use our Ecosystem.

Different types of GG Accounts

  • Visitors can search our Ecosystem for For-Purpose Organisations without creating a GG Account.
  • Conscious Consumers must create a GG Account to buy products and services and make donations on our Ecosystem and access some Ecosystem features.

For-Purpose Organisations and Service Providers must create a GG Account to list their organisation, sell via our Ecosystem and access some Ecosystem features

    • Greatest Good may decline any membership subscription application for a GG Account at our discretion and we might decide to give reasons for declining a subscription, but we don’t have to give reasons for our decision.

    You are responsible for all activities on your GG Account

    • All GG Community members create their own username and password when signing up.
    • They are responsible for keeping their usernames and passwords secure and are responsible for all use and activity carried out under their username.
      • You must maintain the safety and security of your GG Account username and password.

    Your GG Account is only for you

    • You must not assign or transfer your GG Account with us to any third party without our prior written consent.
    • You must not let anyone else access or transact on your GG Account.
    • If you need to give someone access to your account, you must set them up as an authorised user on the Ecosystem (get in touch with us if you need instructions on how to do this).

    6. Conscious Consumers: Creating your GG Account

    You must meet our criteria to register a GG Account as a Conscious Consumer

    • To create a Consumer Account and transact on our Ecosystem, you must meet the following criteria:
      • Be at least 18 years of age;
      • Be able to enter a legally binding agreement with us and the GG Community;
      • Promise to use our Ecosystem in line with these Ecosystem Terms and our other policies.

    7. For-Purpose Organisations: Applying for your GG Account

    You must meet our criteria to register a GG Account as a For-Purpose Organisation

    • To create a For-Purpose Organisation GG Account and transact on our Ecosystem, you must meet the following criteria:
      • Your organisation must be either:
        • a certified B Corp, or
        • a registered charity, or
        • a registered not-for-profit organisation, or
        • a social enterprise.

         For-Purpose Organisations include community groups, co-ops and a range of other purpose-led organisations.

    • Your organisation must have its principal place of business registered with ASIC in Australia.
    • You must change your account details promptly if your principal place of business or other registration details change.

    Application process to register For-Purpose Organisations

    Greatest Good may decline any application in our discretion and we might decide to give reasons for declining a subscription, but we do not have to give reasons for our decision.

    • Step three: If approved, Greatest Good will confirm the registration and send through a link for you to access you account, as well as provide other information relevant to your subscription level.

    For-Purpose Organisations must provide banking details

    • Once approved for a GG Account, For-Purpose Organisations must provide us with correct and up to date financial details via Stripe including:
      • bank account details (the Nominated Bank Account), so we can pay you for your transactions; and
      • credit card details (the Nominated Credit Account), so we can charge you for our relevant Fees when they are payable; and
      • any other information we reasonably ask you for, so we can supply our Ecosystem and Services to you, and meet our legal obligations.
    • Each For-Purpose Organisation authorises us to deposit all amounts payable to the For-Purpose Organisation into the Nominated Bank Account and to charge and deduct from the Nominated Credit Account any and all amounts payable or otherwise owing to us.

    8. Service Providers: Applying for GG Account

    You must meet our criteria to register a GG Account as a Service Provider

    • To create a Service Provider GG Account and transact on our Ecosystem, you must meet the following criteria:
      • Your organisation must provide services to the for-purpose sector
      • Your organisation must have its principal place of business registered with ASIC in Australia.
    • You must change your account details promptly if your principal place of business or other registration details change.

    Application process to register as a Service Provider on our Ecosystem

    • Step one: Apply for Membership on our Ecosystem.
      • You will need to set up an account with Stripe as part of this process.
    • Step two: Greatest Good will review your application and aim to respond via email within 2 days.

         Greatest Good may decline any application in our discretion and we might decide to give reasons for declining a subscription, but we do not have to give reasons for our decision.

    • Step three: If approved, Greatest Good will confirm the registration and send through a link for you to access your account, as well as other information relevant to your subscription level.

    Service Providers must provide banking details

    • Once approved for a GG Account, each Service Provider must provide us with correct and up to date financial details (via Stripe) including:
      • bank account details (the Nominated Bank Account), so we can pay you for your transactions; and
      • credit card details (the Nominated Credit Account), so we can charge you for our relevant Fees when they are payable; and
      • any other information we reasonably ask you for, so we can supply our Ecosystem and Services to you and meet our legal obligations.
    • Each Service Provider authorises us to:
      • deposit all amounts payable to the Service Provider into the Nominated Bank Account; and
      • to charge and deduct from the Nominated Credit Account any and all amounts payable or otherwise owing to us.

    Using our ecosystem

    9. You must use our Ecosystem in line with these Terms

    • Accessing our Ecosystem or registering a GG Account does not grant or transfer you any rights in our Ecosystem.
    • Registering a GG Account and complying with these Terms gives you a limited licence to use our Ecosystem for your own personal or business use, as set out in the Terms that apply for your membership type.

    10. Community Ecosystem Guidelines

    We expect people to treat the GG Community with respect, so we don’t tolerate bad behaviour on our Ecosystem or in our Community

    Engaging in or allowing unacceptable activities on your GG Account may result in us reporting you to relevant authorities and/or removing or restricting access to our Ecosystem without notice.

    The following is a list of activities which are not permitted on our Ecosystem.

    This list is not exhaustive, and we may provide further guidance or more specific details that you need to follow in other policies we notify you of from time to time.

    • Act legally and appropriately
      • When you use our Ecosystem and Content, you must not do (or try to do) anything unlawful or which we reasonably think is inappropriate or might damage our reputation or is prohibited by any laws applicable to our Ecosystem.
      • You must not breach intellectual property rights (including uploading an item or any content to a Frontend Store that infringes Intellectual Property rights), or an individual’s privacy (including uploading private or personal information without that individual's consent) or any other of the legal rights of individuals or organisations.
      • You must not ask for or receive donations via our Ecosystem unless you are an appropriately registered charity with deductible gift recipient (DGR1) status, as determined by the Australian Taxation Office and displayed on the Australian Charities and Not–for–profits Commission (ACNC) register of charitable organisations.
    • Don’t harass or spam the GG Community
      • You must not send any unsolicited commercial messages or spam to our Ecosystem or to GG Community members directly.
      • You must not add any Conscious Consumers who have engaged with or purchased from you via the Greatest Good ecosystem to your marketing or other records, except for the sole purpose of responding to queries or sending their purchases.
      • You must not send any material that is, in our reasonable opinion, misleading, inaccurate, defamatory, racist, obscene, threatening to our Ecosystem or to GG Community members directly
    • Don’t damage or interfere with our Ecosystem or systems
      • You must not upload files that contain viruses that may cause damage to our property or the property of other individuals or organisations;
      • You must not attempt to circumvent our Ecosystem functionality or otherwise avoid paying legitimate Fees or charges.
      • You must not engage in activity that negatively impacts our systems or our supplier systems or network security.
      • You must not scrape our Ecosystem or otherwise harvest or collect information from our Ecosystem without our consent.
      • You must not modify our Ecosystem, or knowingly send viruses or other disabling features that may damage or interfere with our Ecosystem.
    • Don’t misuse our Ecosystem or Content without our permission
      • You must not use our Ecosystem and Content in a way that competes with our business or breaches our IP rights.
      • You must not sell or re-use our Content, our Ecosystem, or any part of our Ecosystem for commercial purposes.
      • You must not re-post our Content partially or in full elsewhere.
      • You must not change, edit, copy, or use, in whole or in part, our Ecosystem or any of our Content (except for those sections of our Ecosystem that we allow you to edit).
      • You must not breach IP rights connected with our Ecosystem or Content, including changing our Content, causing a Resource to be added to another Site or creating derivative works from our Content.
      • If you have a membership that includes access to our Grants database, you may only use the information in the Grant’s database for your organisation’s own personal use. It cannot be used for the benefits or your clients or other parties and may not be shared or replicated in any form.

    11. Fees for using our Ecosystem

    Fees: Conscious Consumers

    • We do not currently charge Conscious Consumers a Fee to use our Ecosystem.

    Fees: For-Purpose Organisations and Service Providers

    • For-Purpose Organisations and Service Providers must pay us Membership Fees to use our Ecosystem.
    • Our current Fees are on our Ecosystem and listed in Australian currency (AUD).
    • For ease of reference, our Fees are shown including and excluding GST as marked on our Site.

    Membership Fees

    • Depending on the Membership Subscription Plan you select, we charge you a monthly or annual Subscription Fee for access to and listing your organisation and its products/services on our Ecosystem.
      • Current Membership Subscription Fees and relevant inclusions for For-Purpose Organisations and Service Providers can be found on the relevant Become a Member page available on the Ecosystem home page and are updated from time to time.
      • We do not offer refunds on your membership once it has been approved or rolled over into the next period.
      • See also the Ending your Membership and leaving our Ecosystem section for more details on minimum commitments.
    • Membership Subscription Fees help us cover the costs of onboarding you onto our Ecosystem, maintaining our Ecosystem functionality, and providing various Services to you that are included with your membership.

    Transaction Fees

    • For each Transaction via our Ecosystem, we deduct a Transaction Fee (including GST) from the proceeds of that Transaction, excluding any additional shipping or delivery costs.
    • We agree the Transaction Fee that applies to your Transactions when you sign up.

    Other Fees and new Fees

    • We may run different campaigns or promotions from time to time. These opportunities may also have different Fees if you decide to participate.
    • We may add new Fees from time to time but will give you reasonable notice if we do.

    Changing our Fees

    • We might update our Fees from time to time. See the Changes to these Terms or to our Ecosystem section for details.

    12. If you don’t pay us Fees or otherwise owe us money

    What happens if you owe us money?

    • If you owe us money and haven’t paid that money, we might restrict your access to our Ecosystem or to certain features, or we may remove your Listing or Ecosystem access or Frontend Store until all Fees, or other payments are paid in full.
    • We may deduct or set-off money held by us on behalf of a GG Community member against amounts we owe to that GG Community member.

         For example, if a For-Purpose Organisation owe us $200 because of a refund or return issue, and they make $500 in Sales via our Ecosystem, then in addition to our usual fees, we can keep $300 of the sales revenue to cover what they owe us.

    • If the money we hold is not enough to deduct our due and payable Fees, then we can charge the difference to a Nominated Credit Account.

         For example, if a For-Purpose Organisation does not have enough sales revenue to cover the Transaction Fees for a new Transaction, we can charge the difference to the For-Purpose Organisation’s Nominated Credit Account.

    13. Accuracy, completeness and timeliness of information

    Our Ecosystem contains material from GG Community members

    • The information on our Ecosystem is made up of information we provide, our Content and information from others in the GG Community.
      • We don’t review all the content that GG Community members make available on our Ecosystem, so we can’t promise that it is accurate or up to date.
      • If you see something you think is incorrect or inappropriate, please let us know so we can investigate.
    • Information on our Ecosystem is offered as general information only and may not be suitable for your circumstances.
    • If parts of marketing material or specifications are important to you, we suggest that you confirm this with the relevant GG Community member or an independent source, such as an annual review document or auditor report.

         For example, if you are a Conscious Consumer and a recycling claim is important to you, you might want to confirm the details of the packaging and product lifecycle with the For-Purpose Organisation directly.

    • Whilst Content that we put on our Ecosystem is accurate to our knowledge when we post it and we aim to keep material and information up to date, we are not responsible for content on our Ecosystem that is, or becomes, inaccurate or incomplete, or provided by others in the GG Community.

    14. Ecosystem security

    The internet is not secure so please be careful with information you submit

    • We have systems & processes to store and manage information, but in general the internet and our Ecosystem may not be 100% secure.

    Security of your systems are your responsibility

    • We are not responsible to you or anyone else if interference with or damage to your computer systems occurs in connection with using our Ecosystem or a linked website.

    15. Using our Content and Intellectual Property

    Ownership of Intellectual Property (IP)

    • We own or licence all rights (including intellectual property rights) on our Ecosystem and all Content.

    Using our Content as part of our Services and our Ecosystem

    • Our Ecosystem has materials, information, and Content which we and our GG Community members spent time and energy crafting for the greatest good.
      • We grant you a limited license to make use of our Intellectual Property within our Content and our Ecosystem to the extent needed for you to use our Ecosystem and Services in line with these Terms.
      • Unless we give you permission, you mustnot copy or create derivative, imitative works of our Content or Ecosystem, or sell or claim ownership to our Content or Ecosystem
      • In addition to being annoyed with you, if you misuse our Ecosystem or Content, we may take action to protect our rights without further notice to you.
    • As part of the Services we supply, we may include access to some of our own Content.
      • We don’t guarantee a specific type of Content will be available for a set length of time and some Content is only available on a limited or single-use basis.
    • If you have questions or want permission to use Content or be part of our Ecosystem, we would love to talk about doing good with you.

    User Content you post to our Ecosystem

    We may let you post or submit information or content to our Ecosystem (User Content).

    • If you post content to our Ecosystem, you grant us a broad global, royalty-free licence to use that content as we see fit.

         For example, repurposing comments you make on an article on our Ecosystem, or posting details of a fund-raising event you are holding.

    • This means we might use & publicly display your User Content on our Ecosystem, and in our newsletters and social media posts.
    • If you make User Content available on our Ecosystem, you are fully responsible for it.
    • We don’t endorse or approve, and are not responsible for, any User Content.
    • If we allow you to post any information to our Ecosystem, we have the right to take down this information at our sole discretion and without notice.

    Testimonials and feedback you give us

    • If you give feedback in a public forum, you give us permission to use that content and related personal information publicly.

         For example, we may take a screenshot of a positive Google review or Instagram story and use that material to promote Greatest Good.

    • If you send private feedback, you give us permission to use that content anonymously on our Ecosystem. We won’t attach private feedback to you by name without getting your permission first.
    • If you give permission and later change your mind, let us know and we’ll make reasonable efforts to remove it.

    16. Results from using our Ecosystem and Services

    Your results depend on many different factors

    • We cannot and do not guarantee particular personal or organisational outcomes from accessing or purchasing from our Ecosystem, buying our Services or becoming a GG Community member.
    • Your outcomes depend on many different factors including:
      • current audience size and interest in your social or environmental impact,
      • resources, systems, and team members you have available to create assets and drive traffic to your page on our Ecosystem,
      • accuracy and completeness of information you provide us
      • and other factors.

    17. We use reasonable care and skill

    We use reasonable care and skill to deliver our Ecosystem and Services to you, however you agree that:

    • We cannot and do not promise our Ecosystem, Services or Content will be continuously available or fault free;
    • If things outside our reasonable control impact on our ability to supply our Services, you agree we are not responsible for impacts on you as a result; and
    • Services and related content are provided in good faith, based on information you provide us, and you are responsible for your use of our Services.

         For example, if your team don’t follow instructions correctly and don’t submit accurate information so your Frontend Store page updates are delayed and you miss out on a busy sales period, we’re not responsible for that outcome.

    • You understand that changes in your product / market mix, external environmental trends, strategic developments in your chosen market, and other factors might mean that our Ecosystem is not creating the impacts you envisiged, despite our best efforts.
    • You agree that you use our Ecosystem at your own risk.

    18. Paying for losses and limiting liability

    If you cause us loss, you’ll need to compensate us

    • You must pay us for any loss you cause us that arises from your use of our Ecosystem or your breach of these Terms (such as misusing our Ecosystem).
    • To the extent allowed by law, you must pay for costs we incur caused or contributed to by:
      • inaccurate or misleading info you give us,
      • your breach of these Terms or our other policies,
      • your breach of any applicable laws or regulations, or
      • your use or misuse of Services or our Ecosystem.

         For example, if you misuse our Ecosystem by selling something illegal or in a misleading way and we suffer loss, you will need to pay us for that loss.

    Limiting our liability to you

    In Australia, all goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms restricts consumer laws that may apply to your Purchases on the Ecosystem or of our Services.

    • To the extent allowed by law, we exclude all liability for claims by you or a third party for all forms of indirect loss or damage, including loss or inaccuracy of data or loss of business profits or revenue.
    • Unless we directly cause your loss through negligence or wilful misconduct, we are not responsible for loss from you using our Ecosystem or Services (or inability to use).
    • Where we can’t exclude liability, our total liability to you is limited to us re-supplying the relevant Service to you or, if applicable, paying to you the cost of paying someone to re-supply the relevant Services to you.

    Limiting our liability in relation to Transactions on our Ecosystem

    • When you transact on our Ecosystem, you enter a separate contract and so to the extent allowed at law, we exclude all liability in relation to goods and services sold via our Ecosystem.
      • To the extent we have any liability to a Conscious Consumer in respect of such goods and services our liability is limited to the amount paid by the Conscious Consumer for the relevant product or service.
      • You agree that we are not liable to you in respect of the acts or omissions of other Ecosystem users or GG Community members and that we cannot and do not guarantee the quality, safety, or legality of goods and services offered via our Ecosystem.
      • You agree that, subject to our rights to intercede under these Terms, you are responsible for enforcing the terms of any sale and purchase agreement formed under these Terms.

    Buying on our Ecosystem

    19. Ecosystem basics: Transactions and how you form contracts

    Sales agreements on our Ecosystem

    • When you transact via our Ecosystem, you enter directly into an agreement with another GG Community member.

    Buying from our Ecosystem

    • When you transact on our Ecosystem, a sales contract is formed between you (the Buyer) and the organisation (the Seller.
    • The Seller may have sales conditions that form part of the agreement with them, in addition to these Terms.
      • You can see the relevant conditions on each Frontend Store page on our Ecosystem.
    • GG Community Members agree to comply with their obligations in contracts formed via our Ecosystem.

    Product and Service Warranties

    • You agree that purchases you make on our Ecosystem are sold by the Seller(s) and not by Greatest Good.
    • Accordingly, Greatest Good is not responsible for any consumer guarantees that relate to Purchases.

    20. Transactions payments on our Ecosystem

    Payments fulfilled via Stripe

    • Our third party payment processor, Stripe, manages all Transaction payments on our Ecosystem.
      • Sellers are not permitted to take or give payments via other methods (such as cash on delivery or direct transfer).
      • Please contact us if a GG Community member approaches you to give or take an alternative payment method that is not authorised on our Ecosystem.
    • Ecosystem Transactions are made via Greatest Good’s account with Stripe, and we hold the transaction proceeds in that account subject to these Terms.

    Pricing displayed in our Ecosystem for each Frontend Store must include GST

    • Prices displayed on a Frontend Store page on our Ecosystem are set by the Sellers and include GST. The invoice will show the GST breakdown of the total amount paid.

     We are the merchant of record

    • We are the Ecosystem owner and marketplace owner.
    • We are the merchant of record in relation to all transactions undertaken via our Ecosystem. However, each transaction you make will be with the underlying organisation(s) on the Ecosystem.
    • Payments are processed via our account and refunds will be issued by us. It is a condition of the use of our Ecosystem that all transactions are managed and processed by us.
    • Conscious Consumers, For-Purpose Organisations and Service Providers agree that we have no liability to Conscious Consumers, For-Purpose Organisations and Service Providers to the extent such liability arises out of any act or omission of Stripe or any other third party payment processor.

    Transactions

    • When you enter into a transaction via our Ecosystem, you pay using your nominated payment method via Stripe.
    • Transactions are recorded on the Invoice as being from the relevant Seller(s). We deal with transaction funds and account to each Seller in accordance with the relevant Terms that apply to For-Purpose Organisation and Service Providers.

    21. Refunds, returns, and resolving problems with Purchases

    We recommend all Sellers have a Refund Policy

    • We recommend that all Sellers selling via our Ecosystem have their own refund and exchange policy that complies with relevant laws, including the Australian Consumer Law.
    • Sellers must clearly display their Refund Policy on the Ecosystem and in any advertisements and they must comply with their policies for all sales made via our Ecosystem.
    • Each Seller is responsible for ensuring that their refund and exchange policy information is:
      • posted in the Trading Policies section of their Frontend Store
      • clearly displayed in all Advertisements
      • complies with relevant consumer laws, and
      • remain up to date at all times.
    • If we reasonably believe that a Seller Refund Policy does not comply with any applicable laws or that a Seller has not complied with their policies, we may direct them to amend their Refund Policy or to take any action we believe is reasonably necessary in relation to a refund or exchange, and the Seller agrees to comply with any such direction.

    22. Our Refunds and Returns Policy

    Our policy for refunds applies in the absence of a Seller Refund Policy

    • If a Seller does not have or clearly display its own Refund Policy, then our Refunds and Returns Policy will apply, and the Seller agrees to comply our Refunds and Returns Policy
    • To allow Sellers to have the greatest impact, we do not allow refunds and returns if you simply change your mind
    • If a Seller experiences a significant delay or is unable to fulfill and order, a refund will be applied
    • We do allow refunds and exchanges if the product is faulty in accordance with the Australian Consumer Law.

    23. Our Fees and refunds

    Change of mind refunds and our Fees

    • If a Buyer requests a refund for a change of mind and the Seller allows these types of refunds, we may refund our Transaction Fees to the relevant Seller.

    Faulty or incorrect Frontend item refunds and our Fees

    • If a Seller must give a refund for a faulty or incorrect item, we are still entitled to our Transaction Fees from the underlying Transaction.

    Refund Costs

    • We may charge Sellers for costs we incur in connection with the arranging of refunds or exchanges on their behalf.

    Selling and Listing on our Ecosystem

    These terms apply to GG Community Members that are authorised by us to sell or promote their goods and services via our Ecosystem.

    • For-Purpose Organisations who are authorised to list and sell goods and services to Conscious Consumers via our Ecosystem and Service Providers who are authorised to list and sell their goods and services to For-Purpose Organisations via our Ecosystem may create a Frontend Store to list and sell goods and services
    • The pricing on any goods and services listed in your Frontend Store must not be greater than the pricing on your own website or other websites you have your goods and services listed. When you have a sale or offer a discount, you will offer the same discount and pricing on your Frontend store.

    Sales agreements on our Ecosystem

    • When you transact via our Ecosystem, you enter directly into an agreement with the other GG Community member.

    24.  Review of Frontend Stores and Directory Listings

    • You must set up your Frontend Store within 10 days of us approving your Membership application
    • We may review Frontend Stores intended for promotion via our Ecosystem.
    • We may reject a proposed Listing or remove an existing Listing from our Ecosystem
    • If we reject or remove a Frontend Store from our Ecosystem we will aim to:
      • give you clear reasons for our action, and
      • if possible, explain ways you can amend the Frontend Store so it might be approved or re-instated on our Ecosystem.
    • Reasons we might reject or remove a Frontend Store include:
      • We reasonably believe the Frontend Store breaches our Terms.
      • We are investigating complaints about the Seller in general or about a specific Frontend Store or item.
      • We reasonably believe the way the Frontend Store or item is being promoted is misleading or deceptive or otherwise in breach of these Terms or a relevant law.
    • When we approve a Frontend Store, we are not providing any kind of legal sign off or approval on the nature of the advertising or the legality of the relevant product, service, or listing.
      • Sellers are responsible for their own legal obligations and to ensure that their promotion and marketing, as well as the items themselves, comply with all relevant laws.

    25. How payments work for Sales via our Ecosystem

    Payments fulfilled via Stripe

    • Payments for Transactions on our Ecosystem are made via our third party payment processor, Stripe.
      • You are not permitted to take or give payments via other methods (such as cash on delivery or direct transfer).
      • Please contact us if a GG Community member approaches you to give or take an alternative payment method that is not authorised on our Ecosystem.
      • Transactions on the Ecosystem are made via Greatest Good’s business account with our third party payment processor (Stripe) and we hold the Transaction proceeds in that account subject to these Terms.

    26. We hold sales revenue on behalf of Sellers

    How we collect and hold payments

    • For each Transaction on our Ecosystem we:
      • collect payment from Buyers on behalf of Sellers;
      • deduct our relevant Fees, such as Transaction Fees; and
      • hold the remainder of each payment (the Net Payment) for at least 28 days after an item is dispatched (Happy Holding Period).

    About the Happy Holding Period

    • The Happy Holding Period starts once a Seller has shipped the order, updated the shipping details, and the order status is showing as Complete in the Ecosystem.
    • During the Happy Holding Period, a Buyer may raise a refund, return, or exchange.
    • After the Happy Holding Period, if there is not a validated request for a refund, return, or exchange, we release the Net Payment to the Seller the next Friday.

    How we process refunds, returns, and exchanges

    • If a refund, return, or exchange is requested during the Happy Holding Period, we hang onto the Net Payment until the refund, return, or exchange is processed.
    • Sellers agree we may apply the Net Payment as required in relation to the refund, return, or exchange.

    Payment timeline

    • We release Net Payments generally once a week on a Friday.
    • We release all relevant Net Payments that have passed the Happy Holding Period weekly on a Friday.

    • Even if you sell Products every day of the week,
      • You only receive Net Payments once a week on Fridays (or the next business day, depending on banking transfer speeds); and
      • You only receive Net Payments after the 28 day Happy Holding Period passes for each Transaction.

    The Happy Holding Period allows us to confirm Buyers are happy with their purchases and assist you to manage refunds or returns centrally from our Ecosystem.

    27. You must not sell or buy some things on our Ecosystems

    • You must not make anything that is illegal in Australia available for sale on our Ecosystem.
    • In addition, we may notify Sellers of any category of restricted or prohibited goods or services at any time, in our discretion.
    • We may remove adverts at any time if we reasonably believe they are for illegal goods or services or do not follow our requirements or relevant laws for advertising those particular goods or services.

    Current restrictions

    • Alcohol sales have extra requirements (see below).
    • Cigarettes, gambling, and tobacco products are not permitted for sale on our Ecosystem.
    • You must not list donations in your Frontend Store unless you are an appropriately registered charity with DGR1 status

    Requirements for alcohol sales

    Sellers may sell alcohol products via our Ecosystem provided they meet the following extra requirements:

    • They hold an appropriate liquor or other licence in accordance with relevant legislation;
    • Advertising and sale of the products complies with all applicable laws, such as Alcoholic Beverages Advertising Code; and
    • Delivery of the products is done in a way to ensure only authorised people, such as those over the age of 18, are receiving the products.

    28.  Promotional offers on our Ecosystem

    • Sellers may promote their goods and services via our Ecosystem by creating a promotional offer using our Ecosystem functionality.

    You grant us rights to use your Advertising Materials

    • You grant us the non-exclusive, royalty-free, worldwide right for the duration of the Term of this agreement to use, store, edit, adapt, and display all materials you provide us in connection with any Advertisement (Advertising Materials) and your use of our Ecosystem, including but not limited to your business name, logo, product details, and images.

    29. No extra terms and conditions

    • Sellers must not make the sale of goods or services via our Ecosystem subject to any extra terms and conditions unless we have given our prior approval.

    30. Fulfilling Purchases made on our Ecosystem

    Fulfilling physical product Purchases

    • Each Seller agrees it will fulfil each Purchase promptly after receiving a Purchase Order from the Ecosystem.

    Fulfilling service Purchases

    • Each Seller agrees it will fulfil any order for services on the agreed date, in a professional and skilful manner, and in accordance with any applicable laws and regulations, and generally accepted industry practice.

    Delays in fulfilling Purchases

    • If there will be a delay in fulfilling a Purchase order, the Seller must contact the Buyer and keep them and us reasonably informed of the Purchase status.
    • Each Seller acknowledges and agrees that the provisions of our Refunds and Returns Policy apply in respect of any delayed order, or any order that is unable to be fulfilled.

    31. Risk and title in Purchases passes on delivery

    Risk and title in Purchases passes to the Seller on delivery

    • This includes where a package is left at a Seller’s notified address by a carrier with the authorisation of the Seller).

    32. Warranties

    Promises each For-Purpose Organisation and Service Provider makes to us

    • Each For-Purpose Organisation and Service Provider promises to us that:
      • it has the capacity to enter into this agreement;
      • it has the right, title, and ability to sell the products and services listed in its Frontend Store;
      • all listed products and services are fit for purpose, of merchantable quality, can be legally sold in Australia, comply with all relevant laws, regulations, and codes, and will be delivered in a professional and skilful manner.
      • it will comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles in connection with the collection, use, disclosure and other handling of personal information collected by the For-Purpose Organisation in connection with transactions performed via our Ecosystem or otherwise under this agreement;
    • all information it gives to us and displays via our Ecosystem is accurate and current and is not misleading or deceptive;
    • it is able to grant us rights in the Advertising Materials and our use of the Advertising Materials will not infringe the rights (including intellectual property rights) of any third party; and
    • it will act in good faith in relation to our Ecosystem and Greatest Good at all times.

    33. Indemnity

    • Each For-Purpose Organisation and Service Provider indemnifies us and will keep us indemnified from and against any and all cost, claim, loss, damage, liability, or expense howsoever arising out of:
      • a breach of this agreement by them; and
      • someone using a product or service purchased via their Frontend Store on our Ecosystem.

    34. GST and other taxes for Frontend Stores

    • Prices displayed for Frontend Stores in our Ecosystem must include GST and all other relevant taxes.
    • For-Purpose Organisations are responsible for accounting for GST in respect of each sale transaction made via our Ecosystem and release us from any liability in respect of GST or other taxes related to the sale of their products.

    Resolving issues

    35. Let’s talk to resolve your issue

    • We always aim for a happy GG Community, so if you have any questions, let us know so we can help fix things!
    • If you are a consumer, you have certain rights under the Australian Consumer Law (ACL), and nothing in these Terms excludes your rights to Consumer Guarantees.

    36. Disputes

    Disputes between Buyers and Sellers

    • If there is a dispute between a Buyer and Seller, we encourage you both to try and resolve the dispute directly in the first instance.
    • If you are unable to resolve the dispute directly, you can ask us to help resolve the dispute and we may decide to assist (but we don’t have to assist, and we may choose not to assist)
    • If you ask us to assist and we agree to assist, and we decide a reasonable resolution of the dispute, then you both agree our determination is final.
    • You release us from all costs, claims, and liability (whether direct or indirect) arising out of any dispute between a Buyer and Seller.

    Disputes between a GG Community member and Greatest Good

    • If you have an issue with us, please contact us for help to fix the issue.
    • If we are unable to resolve the issue within a reasonable time, either party must first refer the dispute for mediation in Victoria.
    • If the dispute cannot be resolved via mediation, then either party may take such further action as it deems appropriate, including the commencement of legal proceedings without further notice.

    37. Refunds for Fees paid to Greatest Good

    • Unless we’ve completely under-delivered on what we promised, you generally aren’t entitled to a refund.
    • If a refund is required by law, we’ll provide that refund.
      • In other situations, we may choose to offer refunds at our discretion.
      • We may decide to refund a portion of Fees already paid, less reasonable costs incurred for Content accessed or Services delivered and / or administrative costs.

    Ending your Membership and leaving our Ecosystem

    38. Suspension

    We can restrict your access to our Ecosystem

    • We may suspend or restrict your access to our Ecosystem or certain features immediately if we reasonably believe you are in breach of this Agreement.
    • Provided we act reasonably, we are not responsible for any loss, cost, damage or liability that may arise as a result of such suspension or restriction.

    39. Ending this Agreement

    Closing your GG Account

    A Conscious Consumer can unsubscribe from our newsletter and stop using their GG Account at any time.

    Termination by you for convenience

    • For-Purpose Organisations and Service Providers can end their subscription at any time.
      • We’ll need at least 14 days notice before your next billing cycle.
      • If you are on a monthly or an annual subscription, you can cancel the automatic renewal and you can still make use of the Ecosystem until the end of your subscription period.

    Termination by us

    • We may suspend or restrict your access to our Ecosystem or certain features immediately if we reasonably believe you are in breach of any of the terms of this Agreement.
    • We may terminate this Agreement at any time upon written notice to a Seller. Each Seller remains obligated to fulfil any orders entered into prior to the effective date of termination. Each Seller agrees that the terms of this Agreement remain applicable in full to any such orders.

    Rights and obligations after termination

    • We remain entitled to all rights and obligations accrued as of the date of termination.
    • In particular, we are entitled to payment of all outstanding Fees or other money, and we may deduct all outstanding amounts from amounts we hold on behalf of a Seller or otherwise may charge their Nominated Credit Account.

    40. Changes to these Terms or to our Ecosystem

    Changes to Frontend Stores or items available in our Ecosystem

    • The GG Community and Sellers may decide to change or remove products and services from their Frontend Stores from time to time (or remove their Frontend Store entirely). They may do this without notice to you.
      • Sellers may update pricing or descriptions of products and services on our Ecosystem.
      • If there is an error, a Seller might need to refund or cancel your online orders if Ecosystem information or products and services are incorrect.
      • They will try to do this within a reasonable time of realising the error or being notified of the error from us or the GG Community.
    • If you think there has been a change that is misleading or otherwise breaches these Terms, please let us know.

    We can change our Fees

    • We may need to update our Fees from time to time to reflect the value of our Ecosystem and the GG Community and cover increases in costs from our suppliers.
    • If we increase our Fees, we aim to give you reasonable notice of at least 14 days.
      • If you are in a minimum commitment membership with us, such as an annual subscription, then the Fee change won’t take affect until the end of your current subscription term.
    • If we add or increase Fees, we can put the notice to you onto our Ecosystem.

    We can change these Terms or our Ecosystem features

    • We may change these Terms from time to time, so check over them when you visit or transact on the Ecosystem to make sure you’re still ok with them.
    • We may make Ecosystem updates from time to time.
      • We aim to make Ecosystem updates and maintenance during off-peak hours to minimise disruption to your enjoyment of the Ecosystem.
    • For material changes to our Terms, Policies, or Ecosystem functionality, we will give you at least 30 days notice.

    Changes to our Services

    From time to time, we may update pricing or descriptions of our Services and Subscription Fees on our Ecosystem.

    • We might need to refund or cancel your online orders if our Ecosystem information or products and services are incorrect.
    • We try to do this within a reasonable time of realising the error.

    Closing down our Ecosystem or excluding you from our Ecosystem

    • We may decide or be required to close our Ecosystem or parts of it for certain users.
      • Where we can, we’ll give you reasonable notice of changes to your Ecosystem access.
      • We’re not responsible for any loss you suffer in connection with our decision or requirement to close down, change or exclude you from our Ecosystem.

    41. General agreement details

    • Survival: The warranties, indemnities, obligations of confidentiality, and dispute resolution provisions survive termination or expiry of this Agreement for any reason.
    • No waiver of rights: The delay or failure to exercise rights or a partial exercise of rights is not a waiver of those rights.
    • Invalid terms severed: If a court of law decides one or more parts of these Terms are invalid or unenforceable, those parts are severed from these Terms and other parts remain in full force and effect.
    • Governing law: The laws of Victoria, Australia govern these Terms and you agree to submit to that jurisdiction.
    • Accessing our Ecosystem: We do not promise our Ecosystem complies with any laws outside Australia. If you access our Ecosystem from outside Australia, you do so at your own risk. You are responsible for following applicable laws where you access our Ecosystem.

      All material, IP, non-public, business-related information disclosed or made available to the receiving party through any means, relating to a party’s business but excludes information that, without breaching this agreement, is already public or known to the receiving party.

      People who want to use their buying power to support For Purpose Organisations and have set up a GG Account on our Ecosystem

      Content

      All articles on our Ecosystem, tools we create, develop, or use to supply you a Service, which might include one or more of the following: access to videos, written information, audio, lessons, digital products, classes, workshops, training plans, feedback, advice, programs, digital products, eBooks, and / or webinars. Greatest Good always retains ownership of all our Content.

      Directory Listing

      For-Purpose Organisations and Service Providers who have a listing on our Ecosystem

      Fees

      The charges you pay to us for the Services and Ecosystem we provide, as set out on our Ecosystem or as otherwise agreed with you.

      For-Purpose Organisations

      Organisations on our Ecosystem that put purpose (social and environmental impact) ahead of, or equal to, profit. Includes social enterprises, registered charities and other not-for-profits, as well as certified B Corporations.

      GG Account

      The username and password assigned to you so you can access our Ecosystem and its features, in line with your selected GG Community member type and subscription level.

      GG Community

      Visitors, Conscious Consumers, For-Purpose Organisations, and Service Providers

      Intellectual Property (IP)

      Any and all of the following in any jurisdiction throughout the world: trademarks and service marks, including all applications and registrations, and goodwill connected with the use of them, patents, copyrights, Ecosystem, and internet domain names, including all related applications and registrations, trade secrets and confidential know-how, other intellectual property and related proprietary rights, interests, and protections. Our Content forms part of our Intellectual Property.

      Frontend pages and content on our Ecosystem to help promote the products and services of our various GG Community members. Frontend Stores and Directory Listings are both types of Listings

      Net Payment

      The payment made by buyers less our relevant Fees

      Nominated Bank Account

      The bank account details a For-Purpose Organisation or Service Provider gives to Greatest Good so we can pay them for valid transactions

      Nominated Credit Account

      A valid credit card so Greatest Good can charge you for our relevant Fees when they are due and payable in line with our agreement with you

      Ecosystem

      Our Ecosystem greatestgood.com.au, and our presence on third-party applications and social media Ecosystems like Instagram, Facebook, LinkedIn

      The profile page on our Ecosystem for Sellers to provide information about themselves and their offerings

      For-Purpose Organisation or Service Providers that are authorised to sell products and services or collect donations via our Ecosystem.

      The fees we charge a Seller on a Transaction amount.

      For example, if a Transaction totals $100, then we charge the Seller a fee which comes out of this amount. If the Transaction Fee is 5%, the fee for this Transaction would be $5.

      We may let you post or submit information or content to our Ecosystem.

      Visitors

      People who visit our Ecosystem and might search our Ecosystem or read over the Content but haven’t yet set up a GG Account.
